1. About Vesper
Vesper – Marbella Circle organises private, invitation-only gatherings.
Vesper is operated by:
Avenoriva OÜ
Registry code 17556457
Tartu mnt 67/1-13b
Tallinn, Estonia
contact@vespercircle.com
These Terms & Conditions apply to invitation requests, invitations, bookings and attendance at Vesper gatherings.
2. Invitation-only participation
Submitting a request for an invitation does not guarantee acceptance, reserve a place or create a contract with Vesper.
Applications are reviewed individually. Vesper may approve or decline an application in order to curate the character and composition of each gathering.
An invitation is personal and may not be transferred, sold or assigned without Vesper’s prior written approval.
3. Couples and other guests
Where an approved applicant is attending as part of a couple, their partner will also receive an invitation without being required to submit a separate application.
Each partner:
- must be individually identified;
- must be at least 21 years old;
- must accept the applicable terms;
- must pay the applicable participation fee.
The partner invitation rule applies only to couples. Friends, colleagues and other guests must submit their own invitation requests and be approved separately.
4. Age requirement
All guests must be at least 21 years old on the date of the gathering.
Vesper or the venue may request valid photographic identification. A guest who cannot demonstrate compliance with the age requirement may be refused entry without a refund.
5. Booking and formation of the contract
A place is confirmed only when:
- Vesper has issued an invitation;
- the guest has provided the requested booking information;
- the guest has accepted the applicable Terms & Conditions and Booking & Cancellation Policy;
- the full participation fee has been received by the stated deadline.
The invitation or invoice will specify the payment deadline and payment instructions.
If payment is not received by the deadline, Vesper may release the place to another guest.
Payment confirms the guest’s acceptance of these Terms & Conditions and the Booking & Cancellation Policy.
6. Participation fee
The participation fee and included services will be stated on the event page, invitation or invoice.
Prices are expressed in euros. The amount communicated to the guest before payment will be the final amount payable unless additional optional services are expressly requested.
Travel, accommodation and personal expenses are not included unless explicitly stated.
7. Event details
Vesper may make reasonable changes to:
- the schedule;
- menu;
- wine selection;
- cultural programme;
- speakers or performers;
- layout;
- other non-essential elements of the gathering.
Such changes may be necessary because of availability, seasonality, safety, venue requirements or circumstances outside Vesper’s control.
Reasonable changes that do not materially alter the nature of the gathering do not create an automatic right to a refund.
8. Conduct and privacy
Guests must behave respectfully towards other guests, Vesper representatives, venue staff and service providers.
Vesper may refuse entry or require a guest to leave where the guest:
- behaves aggressively, abusively or inappropriately;
- harasses another person;
- creates a safety risk;
- is excessively intoxicated;
- materially disrupts the gathering;
- breaches venue rules;
- seriously interferes with the privacy or enjoyment of other guests.
Where removal results from the guest’s conduct, no refund will be provided.
Guests must respect the privacy and discretion of others. Personal or confidential information learned during a gathering should not be shared without permission.
Guests should not photograph, film or record other guests without their consent.
If professional photography or filming is planned, guests will be informed in advance or at the gathering.
Where legally required, separate consent will be obtained. Attendance alone does not grant Vesper an unrestricted right to use a guest’s image for advertising.
10. Food, allergies and dietary requirements
A vegetarian menu may be available where requested sufficiently in advance.
Guests must inform Vesper of relevant allergies or dietary requirements by the deadline communicated before the gathering.
Vesper will communicate reasonable requirements to the venue or catering provider but cannot guarantee a completely allergen-free environment or eliminate every risk of cross-contamination.
Guests remain responsible for deciding whether food or drink is suitable for them.
11. Alcohol
Alcohol may be served at Vesper gatherings. Guests are expected to drink responsibly.
Vesper and the venue may refuse alcohol service or take reasonable action where necessary for safety or compliance with applicable law.
12. Cancellations and transfers
All cancellations, replacements and refunds are governed by the Booking & Cancellation Policy published on the website and incorporated into these Terms.
13. No statutory fourteen-day cancellation period
Vesper gatherings are leisure and catering services provided on a specific date.
To the extent permitted by applicable law, the usual fourteen-day right of withdrawal applicable to certain distance contracts does not apply to a booking for a specific Vesper gathering.
This does not affect any mandatory consumer rights that cannot lawfully be excluded.
14. Force majeure
Vesper will not be responsible for delay, change or failure caused by circumstances outside its reasonable control, including severe weather, natural disaster, epidemic, government restriction, transport disruption, venue closure, power failure, civil disturbance or similar events.
If a gathering cannot take place, Vesper will follow the cancellation and rescheduling provisions in the Booking & Cancellation Policy.
15. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or mandatory consumer rights.
Subject to applicable law, Vesper is not responsible for:
- travel or accommodation booked separately by a guest;
- loss caused by a guest’s failure to follow instructions;
- loss or theft of unattended personal property;
- services independently supplied by third parties;
- indirect or unforeseeable losses.
Guests are encouraged to arrange suitable travel insurance where appropriate.
16. Website content
Website content, brand materials, text, design and imagery belong to Vesper, Avenoriva OÜ or their respective licensors. They may not be reproduced or used commercially without prior written permission.
17. Privacy
Personal data is processed in accordance with the Vesper Privacy Policy.
18. Governing law and consumer rights
These Terms are governed by the laws of Estonia.
If a guest is a consumer residing in another country, this choice of law does not remove any mandatory consumer protections available under the law of that country.
Nothing in these Terms restricts a consumer’s right to bring a claim before a court that has jurisdiction under applicable law.
19. Complaints
Questions or complaints should first be sent to:
contact@vespercircle.com
Vesper will make reasonable efforts to respond and resolve the matter directly.
20. Changes to these Terms
The version in force when a booking is confirmed will apply to that booking. Material changes will not be applied retrospectively without a valid legal reason.
